Corporate & M&A
Through a tailor-made approach designed for each client’s business needs, the firm provides to various industry sectors a full spectrum of corporate and commercial law services, including but not limited to transaction structuring and closing, legal due diligence, drafting transactional documents, support, and participation in negotiations, regulatory and antitrust clearances.
What We Do:
Regulatory: Advising clients, on regulatory and compliance matters, including, among others, the rules relating to data privacy, product safety, product labeling, product liability, authorization and licensing, competition issues, etc.
Commercial Contracts: Drafting and negotiation of various types of commercial contracts, including, among others, sales, cargo shipping, freight forwarder, distribution, franchise, service, operation and maintenance contracts.
Joint Ventures: Drafting and negotiation of the joint venture and cooperation agreements.
Incorporation. Assisting clients in the establishment of Georgian branches and companies, as well as advising on preferable legal structure.
M&A: Advising on Mergers & Acquisitions transactions, drafting, negotiation and execution of necessary documentation, including share purchase and shareholders agreements.
Due Diligence. Conducting due diligence on commercial and corporate law related issues.
Commercial and Corporate Disputes. Representing clients on commercial and corporate disputes, at all instances of Georgian courts, arbitration and mediation proceedings.
Vakhtang Gamtsemlidze rejoined Nodia, Urumashvili & Partners in 2017. Prior to rejoining the firm, he served as Head of Legal, External Affairs, and Security at British American Tobacco from 2009, overseeing commercial and corporate law, M&A, regulatory issues, compliance, reputation, and security across eight markets in the Caucasus and Central Asia. In this role, he effectively led a large team of lawyers across different jurisdictions to meet business objectives.
Before 2009, Vakhtang was a Senior Lawyer at Nodia, Urumashvili & Partners, and served as an Arbitrator at the Dispute Resolution Center while providing legal advice to various businesses in Georgia.

Giorgi Kekenadze joined Nodia, Urumashvili & Partners in 2017. Before joining the firm, he served as a lawyer at an NGO, where he was responsible for constitutional and civil litigation. Giorgi has litigated several high-profile cases at the Constitutional Court of Georgia and interned at the Civil Chamber of the Supreme Court of Georgia in 2013. Additionally, he is an invited lecturer in ADR (Alternative Dispute Resolution) at Ilia State University. Giorgi is the co-author of the Guide to Arbitration for District Court Judges and the Guide to Arbitration for Appellate Courts of Georgia.

Tamta Margvelashvili joined Nodia, Urumashvili & Partners in 2019 as an Associate, advancing to Senior Associate, and later to her current role as Director of Competition, Capital & Financial Markets Practice. She specializes in competition law, financial and capital markets law, data privacy, corporate and M&A, contract law, ADR, and litigation. Tamta advises on cross-border regulatory matters, competition enforcement, and financial and capital market compliance, offering strategic counsel to both domestic and international clients. She is actively involved in national law-drafting initiatives and is a frequent speaker at national and international conferences. Her expertise is reflected in multiple publications on competition and digitalization.
Beyond private practice, Tamta is actively involved in Academia. She holds a position of an Associate Professor at Georgian National University and an invited lecturer at Ilia State University and Tbilisi State University.
