What We Do:
Regulatory Compliance: Capital markets are heavily regulated, and we ensure that your activities comply with all relevant laws and regulations.. This includes proper filings, disclosures, and ensuring transparency for investors. We assist in obtaining regulatory approvals from authorities and advise on reporting obligations and disclosure requirements.
Securities Offerings: If you are looking to raise capital through the issuance of securities (like stocks or bonds), we can help structure the offering and act as your legal adviser. We can assist in preparing the necessary documentation, such as prospectuses, offering memoranda, corporate documentation and registration statements, which are essential for public offerings or private placements.
Due Diligence: Before a capital rise, we perform due diligence to ensure that your business, its operations, and its financials are properly documented and compliant with the law.
Legal Structuring and Advice: We can help with structuring the transaction in the most advantageous way, including advice on securities laws, tax implications, corporate governance, and potential litigation risks.
Litigation and Disputes: In the event of disputes or violations we offer representation, handle litigation, and help mitigate the legal and financial consequences.
Investor Relations: We also provide guidance on investor communication strategies to enhance transparency and market confidence and act as bondholders’ representatives in negotiations, restructurings, and consent solicitations.
